Assistance General Counsel
Rosewood Family of Companies is seeking an Assistant General Counsel with strong business acumen to serve as the general attorney for Rosewood. The Assistance General Counsel will be a key member of the legal department, serving as a business-oriented legal advisor with a focus on (commercial transactions, employment law, regulatory compliance, insurance law, and corporate governance) The position is based out of the company’s Raleigh Corporate Office reporting directly to the Chief Investment Officer.
Essential Functions
- Draft, review and negotiate a broad range of complex commercial contracts, agreements, documents and provide advice to internal business clients
- Review and advise on HR policies and procedures, including support for any escalated employee issues that arise during operations
- Proactive management of all federal and state regulatory compliance needs for new and existing business
- Support corporate governance functions, including executive meeting matters and maintenance of corporate documentation
- Providing legal and regulatory advice to support changes to business models, including new products, services, and partnerships
- Review corporate communications and disclosures, tailor messages to support specific outcomes
- Provide support on other corporate, commercial and other transactions and special projects
- Recognized internally as a thought leader and broad subject matter expert, you’ll provide timely and practical legal advice to the company’s business leaders, proactively identifying key issues, and providing advice and counsel to the company’s senior leaders
- Develop and maintain strong partnerships with internal stakeholders and executive teams to influence decision-making, defend/negotiate/resolve long-range issues, and achieve successful business outcomes
- Accountable to leadership for the resolution of significant risks and issues and implementation of lessons learned
- Serve as a resource to other members of Rosewood Companies, actively seeking and transferring knowledge to benefit the team in addressing corporate issues as they apply to their areas of responsibility
- Work with and direct outside counsel on advice, research, filings, disclosures, and other projects as needed
Requirements and Experience
- Excellent academic credentials
- D. degree from an ABA-accredited law school
- Admitted to practice in good standing with at least one U.S. state bar
- Experience handling legal issues in the employment law space is required
- Excellent written and oral communication skills with the ability to convey legal principles in straightforward and understandable terms to all levels of the institution

Work Environment
The position is based out of the company’s Raleigh Corporate Office
Travel
Minimal, up to 5% or more with limited overnight travel.
