Position Profile

Sentara Healthcare seeks an experienced healthcare and regulatory attorney to join its very active, collegial in-house legal department. The position will primarily support Sentara Healthcare’s health plan operations. The successful candidate will have experience working in highly matrixed organizations, strong analytical ability, outstanding negotiation and communication skills, with sharp attention to detail.

ESSENTIAL DUTIES AND RESPONSIBILITIES

  • Supports professional and hospital provider contracting, advises provider contracting business areas, supports contract negotiations, and drafts complex provider contracts

  • Supports clinical coordination efforts, cost and quality improvement initiatives, wellness programs, and finance, audit, communications, and enrollment matters

  • Facilitates collaborative projects with providers, including members data sharing within legal regulatory parameters

  • Experience in regulatory research and analysis, health regulatory M&A and commercial transactional work

  • Manage and direct the legal aspects of Sentara Healthcare teams in preparation of letters of intent, responses to requests for proposal, term sheets and analysis of transaction opportunities

  • Draft full spectrum of transaction documents

  • Manage, direct, and conduct legal due diligence activities

  • Review and preparation of disclosure schedules

  • Assist with development and implementation of integration plans

  • Advise business teams on compliance with Federal, State, and local laws, regulations, policies and procedures. Provide counsel and guidance on the creation and adherence to Sentara Healthcare’s internal policies and procedures and corporate governance matters generally

  • Attend business meetings and provide corporate secretary functions for Sentara Healthcare affiliates, including drafting meeting minutes, written consents, and development of meeting agendas

Professional Experience & Qualifications

  • Minimum of eight (8) years of legal experience with specific focus on health insurance and direct experience leading legal support of significant corporate contracts and transactions

  • In-house or law firm healthcare experience preferred

  • Graduation from an accredited law school with a Juris Doctor degree, with an unrestricted license to practice law in one or more jurisdictions in the United States. Candidates must be eligible for admission to the Virginia State Bar

Location of Work:

The individual will reside in the Hampton Roads region and report to the Corporate HR Offices currently in Norfolk, Virginia.

Serve as primary lead for legal services in one or more operational areas. Assist or take leadership role, as assigned by the Supervising Attorney in Legal department processes and planning tasks. Assist the Supervising Attorney in development, implementation, interpretation and enforcement of organizational policies relating to legal services, including by direct engagement in foregoing on request by the Supervising Attorney. Provide leadership of the Legal department in the absence of the Supervising Attorney. Includes duties and responsibilities of Assistant Counsel. Other duties as may be assigned by the Supervising Attorney. Ten years of experience, or more, relevant to clients to be represented, with significant in-house experience preferred. Licensed to practice law in Virginia or must obtain license within one year of employment.
