Department Overview Legal Support - U.S. Federal Markets
Job Description
This position can be remote anywhere in the USA but proximity/ability to work in Linthicum Heights, Maryland is a plus.
The Commercial Counsel position serves as legal support to the US Federal Markets business unit of Motorola Solutions, Inc. (“MSI”).
This attorney will work closely with MSI’s Federal Market leaders, sales, contracting and business team professionals to provide advice and counsel on a wide range of compliance and contractual related issues, including internal policy adherence, contract compliance, contract performance, negotiation of terms and conditions, teaming agreements and prime-sub agreements. The position will report directly to MSI’s Senior Counsel lead for US Federal Markets.
Scope of Responsibilities/Expectations: Legal support including, but not limited to:
Compliance with relevant laws and policies including FAR/DFAR, NDAA requirements, small business regulations, and information security related requirements;
Drafting, reviewing and/or negotiating a variety of government and commercial contract documents, including standard template documents, federal terms and conditions, US Federal “flow down” clauses, teaming agreements, reseller agreements, and subcontract documents;
Advising with regard to general legal inquiries from the business that may relate to contract disputes, regulatory issues and new business initiatives;
Supporting the sales team’s efforts to expand and grow the business in accordance with all legal, regulatory and contractual requirements;
Periodic SME support to state and local contracting/legal teams relating to US Federal contracting/grant requirements;
Monitoring for new developments and requirements.
Specific Knowledge/Skills Desired:
In-depth knowledge of the FAR, DFAR, and those requirements unique to contracting with the US Government, including the FAR Part 12 commercial item contracting process;
Prior experience developing, administering, evaluating and/or improving contractual and compliance related controls for sales-focused organizations;
Prior experience with Federal contractor/OEM reseller programs;
Contract drafting experience, including commercial item terms and conditions;
Excellent oral and written communication skills;
Adaptable ‘can do’ attitude, ability to work independently and make decisions in fast paced environment;
Required to work with the highest level of ethics and discretion.
Preferred Skills:
Minimum of 4 years of experience working with US Federal Government contracts with evidence of increased levels of responsibility, complexity of matters, and/or development of expertise;
Understanding of commercial item, FAR Part 12 contracting process; federal reseller programs, IDIQ contract vehicles (including GSA) and Federal small business issues;
Federal and commercial contract/subcontract negotiation experience.

Basic Requirements
Juris Doctor Degree and 4+ years of experience
Admission to a US bar in good standing
Must be a US citizen capable of obtaining a US Federal Government security clearance
