As a Corporate Secretariat Assistant, you will work closely with, and at the direction of, the Corporate Secretariat Manager – US Operations to administrate all corporate secretariat functions regarding the operation of US legal entities (“US Companies”).

This role will provide YOU the opportunity to lead key activities to progress YOUR career, these responsibilities include some of the following…

  • Manage board annual meeting logistics, record minutes and facilitate board communications of entities.

  • Manage the process of preparation of written shareholder/member and board consents in lieu of annual meetings.

  • Prepare ad hoc shareholder/member and board consents at varying level of complexity.

  • Maintain the accuracy and integrity of core corporate data for US Companies in entity management database.

  • Prepare financial interests disclosure statements for US Companies to assist the litigation team in responding to interrogatories.

  • Review requests for execution of documents on behalf of the US Companies for accuracy and correct as needed. Arrange for their execution, notarization and legalization, as required.

  • Manage the preparation, execution and filing of charter documents (i.e. certificates of incorporation/formation, amendments, certificates of authority to do business in states, certificate of change of registered agent/office, certificate of conversion, withdrawals, dissolution, strike-off, etc.) and other compliance documents as required.

  • Prepare affidavits, declarations, powers of attorneys, incumbency and officer’s certificates, proxies, relationship letters, or other documents as requested.

  • Issue stock certificates.

  • Maintain key corporate documents and records i.e. minute books and stock records;

  • Work with Corporate Secretariat Manager – US Operations and GSK Tax department to support of merger and acquisition transactions entity integration and prepare related ancillary documents and assist with other post-closing matters.

  • Order and obtain requisite corporate documents for US Companies.

  • Maintain the master spreadsheet of US Equity Investments to monitor publicly traded companies.

  • Upon receipt of the issuer’s annual general meeting (the “AGM”) materials, obtain voting instructions from appropriate internal authorities and vote online in a timely manner.

  • Work closely with Trustee and Investor Relations (U.S.) on matters relating to GSK’s American Depositary Receipt program and ensure that shareholder inquiries are properly addressed.

  • Maintain relationship with Registered Agent and ADR Depositary.

  • Work closely with GSK Treasury on banking matters and paying agent arrangements.

  • At the direction of the Corporate Secretariat Manager – US Operations work on any other Corporate Secretariat matter relating to the maintenance and support of the US Companies and the support of the global GSK Corporate Secretariat team and its work.

  • 2+ years' Corporate Secretarial experience

Preferred Qualifications:

If you have the following characteristics, it would be a plus:

  • Some experience of working with Company Secretariat Software

  • Knowledge of company secretariat procedures

  • Good organizational and administrative skills

  • Computer literate

  • Ability to work unsupervised and take responsibility for matters within scope of role

  • Ability to communicate clearly at all levels

  • Team player which an ability to build productive relationships with colleagues and key stakeholders.
